Commercial Transactions

Commercial transactions are basically any manner of engaging in commerce. Common forms of commercial transactions include loans, security agreements, leases, purchase agreements, employment contracts, pre-litigation settlements, and generic contracts. We provide representation in each of these areas. Typically our representation consists of negotiating the terms of the transaction, reviewing proposals from other parties and their counsel, advising clients concerning the potential ramifications of the transaction, and preparing documentation related to the transaction. We prepare many associated forms, such as promissory notes, security agreements, perfection instruments (UCC-1 filings), etc. Additionally, we can assist with single-sided transactions, such as business formations for corporations, LLC’s, and partnerships, business dissolutions, shareholder agreements and bylaws, and annual reporting requirements.
